Terms of Service

1. Acceptance of Terms

By accessing or using the RealSail property management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and RealSail LLC ("RealSail," "we," "us," or "our").

2. Description of Service

RealSail is a cloud-based software-as-a-service (SaaS) property management platform that enables property managers, landlords, and management companies to manage their rental properties, tenants, leases, maintenance, finances, and communications. The Service includes portals for property managers, tenants, and property owners.

3. Accounts and Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

The Service is offered on a subscription basis at $125 per month. Your subscription includes unlimited properties, units, and users. Payment is processed through Stripe.

We offer a 60-day free trial. No credit card is required to start the trial. After the trial period, you must subscribe to continue using the Service.

Subscription fees are billed in advance on a monthly basis. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service in any manner that could disable, overburden, or impair the Service
• Collect or store personal data about other users without their consent
• Use the Service for any purpose that violates fair housing laws or engages in discriminatory practices

6. Data and Content

You retain all rights to the data you enter into the Service ("Your Data"). You grant RealSail a limited license to use, store, and process Your Data solely for the purpose of providing and improving the Service.

You are responsible for the accuracy and legality of Your Data. You represent that you have the necessary rights and consents to enter tenant and owner information into the platform. You may export or delete Your Data at any time through the Service.

7. Rent Collection and Disbursements

RealSail facilitates rent collection from tenants and disbursement of funds to property owners through Stripe. Rent payments are held in trust and disbursed according to the schedule configured by the property manager, less any applicable management fees.

RealSail is not a bank, financial institution, or money services business. We act solely as a technology platform facilitating transactions between property managers, tenants, and owners. All payment processing is handled by Stripe in accordance with their terms of service.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by RealSail and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALSAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Termination

You may terminate your account at any time by canceling your subscription through the Service. We may suspend or terminate your account if you violate these Terms or if we reasonably believe termination is necessary to protect the Service or other users.

Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days after termination to allow for export, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in North Carolina.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Service with a revised "Last Updated" date and by email at least 30 days before the changes take effect. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
